Introduction

The terms and conditions set forth in the agreement between the client and the digital marketing agency for marketing services.

Services Provided:

The digital marketing agency agrees to provide the client with a range of digital marketing services, including but not limited to search engine optimization (SEO), social media marketing, pay-per-click advertising (PPC), email marketing, and content marketing.

Payment Terms:

The client agrees to pay the digital marketing agency the agreed-upon fee for services rendered, as outlined in the signed contract. The client will be invoiced on a monthly basis and payment is due within 30 days of receipt of the invoice.

Confidentiality:

The digital marketing agency agrees to keep all client information confidential and will not disclose it to any third party without the client’s prior written consent.

Ownership of Work Product:

The digital marketing agency retains ownership of all work products created during the course of the engagement, including but not limited to reports, analyses, and marketing materials. The client is granted a limited license to use such work product for the purpose of promoting their business.

Termination:

Either party may terminate the agreement with 30 days written notice. In the event of termination, the digital marketing agency will cease all services and the client will be responsible for the payment of any outstanding invoices.

Limitation of Liability:

The digital marketing agency is not liable for any damages resulting from the performance of services under this agreement, except for damages resulting from the digital marketing agency’s gross negligence or intentional misconduct.

Dispute Resolution: 

Any disputes arising from this agreement will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Governing Law:

This agreement will be governed by and construed in accordance with the laws of the state where the digital marketing agency is located.

Entire Agreement:

This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements. This agreement may only be amended in writing signed by both parties.

Independent Contractor:

The digital marketing agency is an independent contractor and is not an employee, agent, or partner of the client. The digital marketing agency is responsible for its own taxes and insurance.

By signing this agreement, both parties agree to be bound by these terms and conditions.
